A group led by Nelson Peltz's Trian Fund Management has offered $7.35 per share in cash to take Wendy's private. The non-binding proposal values the deal at roughly $1.4 billion and includes Flynn Group, one of the burger chain's largest U.S. franchisees, according to Fox Business.

The offer represents a roughly 20% premium over Wendy's share price at close on October 27. Trian, a longtime Wendy's shareholder, disclosed the proposal in a regulatory filing Wednesday after The Wall Street Journal first reported it. The buying group also includes investment firms BlueFive Capital and Sixth Street Partners. Reuters reported that Flynn operates more than 340 Wendy's restaurants.

In its letter to Wendy's board, the group argued that the chain needs several years and substantial investment to turn its performance around. It cited pressure on U.S. consumers and continued commodity inflation, arguing that the company needs capital to address its debt and improve results across the system. "Wendy's sits at a critical juncture," the group wrote.

Wendy's has struggled to regain momentum. Its shares fell about 68% over the previous five years before rising nearly 17% Wednesday morning after news of the offer. The chain also lost its long-held No. 2 U.S. burger brand position earlier this year. In September, Meritage Hospitality Group, one of Wendy's largest franchisees, filed for Chapter 11 bankruptcy protection.

This isn't Trian's first attempt. The firm explored taking Wendy's private in 2022 before stepping back the following year.

Flynn's role could make the proposal especially relevant to Wendy's franchisees, but the group has not outlined specific changes to restaurant operations or franchise policies. For now, the offer remains non-binding and would need approval from Wendy's board and shareholders.
